These Terms govern your access to and use of Clinstrux, the Clinby AI companion, and the Clinby Community. Please read them carefully — they include important disclaimers about the clinical nature of this platform.
Last updated: 6 July 2026These Terms of Use ("Terms") form a binding agreement between you and Clinstrux Ltd, a company registered in England and Wales with its registered office in London, United Kingdom ("Clinstrux", "we", "us", "our"). By creating an account, accessing app.clinstrux.com or clinby.clinstrux.com, or otherwise using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use the Services.
If you are using the Services on behalf of an organisation (such as a hospital, pharmacy department, or health system), you represent that you have authority to bind that organisation, and "you" includes that organisation where the context requires.
Not a substitute for clinical judgment
Clinstrux is provided for demonstration and educational purposes only. It is not a certified medical device, is not intended to replace professional clinical judgment, and must not be used as the sole basis for direct patient care decisions. All outputs — including Clinby's suggestions — are decision-support tools, not clinical instructions.
Clinstrux is a clinical workflow platform for pharmacists, comprising structured assessment workflows (such as ABX, MEDREV, POLY, CKD, HF, DM, COPD, ANTICOAG, and DEPRESC), an AI companion ("Clinby"), organisation and team management features, and a community discussion space ("Clinby Community"). We may add, modify, or remove features, workflows, or functionality at any time, with or without notice, as the platform is under active development.
You must be at least 18 years old and a qualified, trainee, or student healthcare professional (or otherwise have a legitimate professional or educational reason to access clinical workflow tools) to use the Services. By registering, you confirm that the information you provide is accurate and that you will keep it up to date.
You may register individually or as part of an Organisation. Organisation registration is subject to Section 5 below.
You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us immediately at clinstrux@clinstrux.com if you become aware of any unauthorised use of your account. We are not liable for any loss arising from your failure to safeguard your credentials.
Organisations may invite members, assign roles (admin or member), and remove members. Organisation administrators may view certain case metadata for members of their organisation — including case reference, workflow type, status, patient identifier (where entered in de-identified form), current step, risk level, and dates — for clinical governance and oversight purposes.
Administrators cannot edit a member's case or view the full clinical detail underlying that metadata. This is a deliberate design choice: the pharmacist who performs a clinical assessment remains the accountable decision-maker of record, consistent with the signature attached to any exported documentation. An organisation cannot be left without at least one administrator except where the organisation itself becomes empty of members.
Each organisation is responsible for ensuring its own use of the platform, and its members' use, complies with these Terms, applicable law, and any internal clinical governance policies the organisation maintains.
When using the Services, you agree that you will not:
We reserve the right to investigate and take appropriate action — including content removal, account suspension, or termination — against anyone who violates this section.
Clinstrux's workflows generate structured, explainable recommendations based on the clinical variables you enter, supported by clinical rationale and evidence references drawn from recognised guidelines (such as NICE, IDSA, KDIGO, GOLD, and BNF, among others). These recommendations are decision-support tools only. You remain solely and professionally responsible for:
Clinby is powered by large language models combined with structured workflow logic. Like all AI systems, Clinby's outputs may occasionally be incomplete, out of date, or inaccurate. Clinby is not a licensed healthcare professional, does not have access to information beyond what you or the platform provide it, and its responses do not constitute medical, legal, or professional advice. You should independently verify any clinically significant information Clinby provides before acting on it.
The Clinby Community is a moderated space for pharmacists to discuss clinical topics, workflows, and professional experiences. By posting content to the community, you grant Clinstrux a non-exclusive, worldwide, royalty-free licence to host, display, reproduce, and distribute that content within the Services, for as long as the content remains posted (and, where relevant, in aggregated or anonymised form thereafter for service-improvement purposes).
You retain ownership of content you post, but you are solely responsible for it. You confirm that any content you post does not include identifiable patient information and does not infringe any third party's rights. Community content is reviewed by human moderators, and we reserve the right to remove any content, and to suspend or ban any user, that we reasonably believe violates these Terms, our community guidelines, or applicable law — including content containing identifiable patient information, harassment, or discriminatory material.
Community discussion is not a substitute for direct patient care decision-making and must not be treated as such by any member.
All rights, title, and interest in and to the Services — including our software, workflow logic, clinical content curation, design, trademarks (including "Clinstrux" and "Clinby"), and the Clinby character and artwork — are owned by Clinstrux Ltd or our licensors and are protected by intellectual property laws. Nothing in these Terms grants you any right to use our trademarks, branding, or Clinby artwork without our prior written consent.
You retain ownership of the clinical case data and other content you input into the Services ("Your Content"). You grant Clinstrux a licence to host, process, and display Your Content solely as necessary to provide the Services to you (and, where applicable, your organisation's administrators as described in Section 5).
Clinstrux is currently provided free of charge during its beta period. We reserve the right to introduce fees, subscription tiers, or usage limits for some or all features in the future. Where we do so, we will provide reasonable advance notice to registered users before any charges apply to their account.
You may stop using the Services and close your account at any time by contacting clinstrux@clinstrux.com. We may suspend or terminate your access to the Services, in whole or in part, at any time, with or without notice, if we reasonably believe you have violated these Terms, if required by law, or if we discontinue the Services. Upon termination, your right to use the Services ceases immediately; certain provisions of these Terms (including Sections 10, 13, 14, 15, and 16) survive termination.
To the fullest extent permitted by law, the Services are provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, non-infringement, or accuracy. We do not warrant that the Services will be uninterrupted, error-free, or secure, or that any recommendation, workflow output, or Clinby response will be accurate, complete, or suitable for any particular clinical situation.
Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be excluded or limited under English law.
To the fullest extent permitted by law, Clinstrux Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or in connection with your use of, or inability to use, the Services — including any clinical decision made in reliance on any workflow output or Clinby response — even if we have been advised of the possibility of such damages.
Subject to the paragraph above, our total aggregate liability to you for any claim arising out of or relating to these Terms or the Services shall not exceed the greater of (a) the total fees you have paid us in the twelve (12) months preceding the claim, or (b) £100.
You agree to indemnify and hold harmless Clinstrux Ltd, its officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with your use of the Services, your violation of these Terms, or your violation of any applicable law or third-party right, including any claim arising from Your Content or from a clinical decision made in reliance on the Services.
These Terms, and any dispute or claim arising out of or in connection with them or their subject matter, shall be governed by and construed in accordance with the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction to settle any such dispute or claim, and the parties irrevocably submit to that jurisdiction.
We may amend these Terms from time to time to reflect changes to the Services, our practices, or applicable law. We will update the "Last updated" date at the top of this page, and where changes are material, we will take reasonable steps to notify registered users. Your continued use of the Services after any change constitutes your acceptance of the revised Terms.
